Binding Contract

Accessing our website or installing our spreadsheet add-ins constitutes agreement to these terms.

Per-User Licensing

Subscriptions are granted per individual user. Shared credentials and multiplexing proxies are prohibited.

Output Ownership

You own your sheet contents and returned formulas. GSquare Labs retains proprietary rights to application code.

Execution Limits

Fair use caps protect processing capacity against automated scraping, loops, and denial-of-service attempts.

1. Contract Formation & Operating Parties

These Terms of Service constitute an agreement between you (the "Customer") and GSquare Labs, a registered sole proprietorship in Gujarat, India, with its office at 1650, 1st Floor, Girdhar Gopal Bldg, Shastrinagar Main Rd, Jadiya Wadi, Surat - 395002, Gujarat, India ("GSquare Labs"). These terms govern all interactions with the SheetFactorys web application, browser sessions, and add-ins for Microsoft Excel and Google Sheets.

By creating an account, authenticating via OAuth, installing add-in manifests, or maintaining an active subscription, you accept these terms in full. If you disagree with any provision, you must terminate your account and uninstall the add-in.

2. Service Scope & Reseller Relationship

SheetFactorys provides spreadsheet automation tools for natural language formula generation, error diagnosis, syntax translation, and tabular data cleaning. Features execute through client sidebar integrations that communicate with cloud calculation services.

Order fulfillment, recurring invoicing, and payment processing are managed by Dodo Payments Inc (dodopayments.com), acting as the Merchant of Record. Dodo Payments handles tax calculation, invoice delivery, and initial payment dispute management pursuant to the Dodo Payments Buyer Terms.

3. User Obligations & Acceptable Use

Access to the platform requires adherence to operational rules:

  • Accounts are restricted to adults at least 18 years old or the legal age of majority in your jurisdiction.
  • Licenses are assigned on a single-seat basis. Credential sharing, token multiplexing, or routing third-party queries through a single account is prohibited.
  • Customers must not upload or process unencrypted payment card information (PCI-DSS), Protected Health Information (HIPAA), or export-controlled defense data.
  • Reverse engineering, automated extraction of application source code, or launching automated scripts that mimic user activity is prohibited.

4. Infrastructure Quotas & Fair Use Policy

To ensure system availability and protect computational infrastructure, GSquare Labs monitors high-frequency traffic. Accounts that generate excessive concurrent requests, trigger automated loops, or exceed typical human spreadsheet interaction patterns are subject to rate limiting or temporary suspension. Any structural adjustments to plan limits will be announced 30 days prior to renewal dates.

5. Warranty Disclaimers & Calculation Validation

SheetFactorys is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Mandatory Calculation Audit & Data Backup Requirements

  • Users must verify and test generated formulas in a non-production sheet before applying them to business-critical workbooks.
  • Customers are solely responsible for creating and maintaining external backups of all workbook data prior to running data cleaning or formula insertion tools.
  • Calculated outputs are generated through computational language models and may contain syntax syntax discrepancies, logical errors, or unhandled null values.
  • Outputs do not constitute legal, tax, accounting, or professional financial advice. All regulatory reporting calculations must be independently audited by qualified professionals.

Google Sheets, Google Workspace, and Microsoft Excel are trademarks of their respective owners. SheetFactorys operates independently and is not affiliated with, endorsed by, or sponsored by Google LLC or Microsoft Corporation.

6. Limitation of Liability

To the maximum extent permitted by applicable law, GSquare Labs and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of business revenue, or spreadsheet corruption, resulting from the use of the platform.

Total aggregate liability for all claims arising under these terms is strictly capped at the greater of one hundred U.S. dollars ($100.00) or the total fees paid by the customer to SheetFactorys in the preceding twelve-month period.

7. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising under this agreement will be settled through binding individual arbitration under Indian arbitration rules.

  • Parties waive rights to litigate disputes before civil jury courts.
  • Proceedings must occur on an individual basis. Class action lawsuits and collective arbitrations are strictly waived.

8. Governing Law & Jurisdiction

These terms are governed by and construed under the laws of India, without application of conflict of laws rules. Legal actions permitted outside arbitration are subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
