1. Acceptance of Agreement
This Terms of Service agreement ("Agreement") is a legally binding contract between you (the "User") and GSquare Labs, a registered sole proprietorship in Gujarat, India (operating the brand "SheetFactorys" and referred to as "GSquare Labs", "we", "us", or "our"), governing your access to and use of the SheetFactorys website, application, and spreadsheet plugins for Google Sheets and Microsoft Excel (collectively, the "Service"). The registered office of GSquare Labs is located at 1650, 1st Floor, Girdhar Gopal Bldg, Shastrinagar Main Rd, Jadiya Wadi, Surat - 395002, Gujarat, India.
By registering an account, subscribing to any service plans, or installing the SheetFactorys spreadsheet plugins, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you are prohibited from using the Service.
2. Description of the Service
SheetFactorys provides an AI-powered processing suite that converts natural language prompts to formula statements, solves formula errors, translates functional syntax across spreadsheet hosts, and cleans datasets to compile live dashboards. We reserve the right to modify, upgrade, or temporarily suspend aspects of the Service to perform necessary database optimizations.
Our order process is conducted by our Merchant of Record, Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
3. Licensing & Account Safety
We grant you a limited, non-exclusive, non-transferable, revocable license to access our platform in accordance with your subscription tier.
- You are solely responsible for protecting your account authentication credentials (Firebase Auth sessions and live API developer tokens).
- No Account Sharing or Multiplexing: Subscriptions are licensed on a per-user basis. Account sharing, credential sharing, or "multiplexing" (utilizing a single user account or custom proxy system to route queries for multiple distinct individuals) is strictly prohibited. Each individual accessing the Service must hold their own license.
- Ownership & Non-Uniqueness of Outputs: GSquare Labs assigns all ownership rights to the generated formulas, code snippets, charts, and metric configurations (the "Output") to you. However, due to the automated nature of artificial intelligence, you acknowledge that the Service may generate identical or similar outputs for other users, and you do not acquire any exclusive intellectual property rights or trade secret claims over generic formula syntax, standard code statements, or common layout formats.
- You agree not to reverse-engineer, scraper-abuse, or rent access to our backend API endpoints.
- You agree not to use the Service for any inappropriate, fraudulent, malicious, or abusive activities. SheetFactorys reserves the absolute right to take immediate action, including account suspension, permanent termination, and restriction of API privileges without notice or refund, if any misuse, system circumvention, or inappropriate use of the application is detected.
Billing & Subscriptions
All premium subscriptions are managed and processed securely via Paddle. By subscribing, you authorize recurrent billing based on your selected plan.
Cancellation Policy
You may cancel your subscription at any time directly through your Account Hub or by contacting Paddle support. Access to premium features will continue until the end of your current billing period.
4. Fair Use Policy & System Quotas
To protect database stability, prevent automated API abuse, and manage processor execution costs (such as LLM generation), we enforce a strict Fair Use Policy. While premium plans currently offer high-throughput or unlimited generations, GSquare Labs reserves the right to introduce consumption-based credit limits, token caps, or daily quotas in the future. Any modifications to usage parameters will be communicated to active subscribers in advance.
5. Disclaimers, Security & Mathematical Liability
SheetFactorys is provided on an "As Is" and "As Available" basis. While we employ industry-standard security measures (including TLS 1.3 encryption and PostgreSQL Row-Level Security as detailed in our Privacy Policy), you acknowledge that no method of transmission over the Internet or electronic database storage is 100% secure. GSquare Labs does not warrant or guarantee that the Service is completely secure, uninterrupted, error-free, or immune from unauthorized access, cyber-attacks, or hacking.
🔌 Third-Party Dependencies & Deprecations: SheetFactorys integrates with and relies upon host platforms and services operated by third parties (including Google LLC, Microsoft Corporation, Paddle, and LLM API providers). GSquare Labs is not liable for any service interruptions, performance degradations, data discrepancies, or deprecation of developer features caused by updates, policy changes, rate limits, or service terminations enacted by these third-party platforms. If a host platform alters its APIs or workspace interfaces in a manner that degrades or breaks the plugin's features, GSquare Labs may modify or suspend affected features without liability, credit adjustments, or refund.
Important Mathematical Disclaimer & Backup Requirements
SheetFactorys is an AI compilation tool designed to assist with formula generation and metric modeling. While our algorithms aim for mathematical precision, we DO NOT warrant or guarantee the structural accuracy of generated formulas or data reports. Users are strictly responsible for auditing formulas inside their spreadsheet sandbox before executing them on live corporate datasets.
💾 Backup Obligation: You are solely responsible for creating and maintaining independent backup copies of all spreadsheets, sheets, columns, cells, and datasets prior to using any feature of the Service (including formula generation, formula correction, data cleaning, translation, or dashboard compiling). Under no circumstances shall GSquare Labs, its owner, or its affiliates be held liable for any lost, corrupted, overwritten, modified, or deleted workbook data resulting from your use of the Service.
⚠️ AI Outputs, Limitations, and Mistakes: You acknowledge and agree that SheetFactorys uses generative artificial intelligence models to compile formulas, clean datasets, and produce reports. Due to the inherent limitations of these technologies, the output may contain mistakes, inaccuracies, computational errors, omissions, or hallucinations. You are solely responsible for reviewing, auditing, and validating all outputs before copying, executing, or relying on them in any workbook, database, or application. GSquare Labs makes no representations or warranties regarding the reliability, completeness, accuracy, or suitability of any AI-generated output, and you assume all risks associated with their use.
🚫 No Professional Advice (Financial, Tax, or Accounting): All AI-generated outputs, metrics descriptions, and reports are provided for informational and helper purposes only. The Service does not provide financial, tax, legal, or accounting advice. You agree that you are solely responsible for verifying the accuracy of any computations before using them in business audits, tax filings, financial reporting, or other regulated documents, and you release GSquare Labs from any liability related to compliance failures or calculation mistakes.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall GSquare Labs, its affiliates, or its sub-processors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business goodwill, or cost of procurement of substitute services, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to these terms or the Service shall not exceed the greater of: (a) one hundred U.S. dollars ($100.00), or (b) the total amount paid by you to SheetFactorys in the twelve (12) months preceding the event giving rise to the claim.
7. Dispute Resolution & Class Action Waiver
Please read this section carefully, as it restricts your ability to bring lawsuits in court.
- Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these terms or the Service shall be resolved exclusively through final and binding individual arbitration, rather than in a court of law.
- Class Action Waiver: You and SheetFactorys agree that any proceedings to resolve disputes will be conducted solely on an individual basis and not in a class, consolidated, or representative action. You explicitly waive your right to participate in class-action lawsuits or class-wide arbitrations against GSquare Labs.
8. Governing Law & Jurisdiction
These terms shall be governed, construed, and enforced in accordance with the laws of India, without reference to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts located in Surat, Gujarat, India.
